Terms and Conditions of Use

You represent that you are at least 18 years of age, or are an emancipated minor or have legal parental or guardian consent, and are fully able and competent to enter into these Terms. The Platform is not intended for children under 13.

If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Mealz provides a technology platform that allows users to discover restaurants, coordinate group dining, request catering or meal orders, facilitate reservations, and receive order-related communications.

Mealz is not a restaurant, caterer, food preparer, or delivery service.

Restaurants, venues, caterers, and food providers ("Food Providers") are independent third parties.

Delivery services or restaurant-provided delivery ("Deliverers") are also independent third parties.

Mealz does not control, verify, or guarantee:

• food quality, preparation, allergens, nutritional accuracy, or safety;
• delivery timing, packaging, handling, or transport; or
• compliance by Food Providers or Deliverers with applicable laws.

You acknowledge that all food-related services are performed solely by the Food Provider and/or Deliverer, and Mealz is not responsible for their acts or omissions.

Certain features may require account creation. You agree to provide accurate, complete, and current information and to keep login credentials secure.

You are responsible for all activity occurring under your account and must notify Mealz immediately of any unauthorized use.

Mealz grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for lawful purposes consistent with these Terms.

You may not, without prior written consent:

• scrape, crawl, or use automated tools to extract Platform data;
• interfere with Platform security or functionality;
• use Mealz trademarks, logos, or proprietary content;
• submit unlawful, defamatory, obscene, misleading, or infringing content;
• impersonate another person or entity;
• use the Platform for unauthorized commercial exploitation; or
• engage in activity inconsistent with the Platform's intended purpose.

All content on the Platform—including text, graphics, logos, interfaces, software, and layout—is owned by or licensed to Mealz and protected by intellectual property laws.

You may download a single copy of content for personal, non-commercial use only, provided proprietary notices are not removed.

The Platform may permit you to submit reviews, comments, feedback, photos, or other materials ("User Submissions").

By submitting User Submissions, you grant Mealz a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and create derivative works from such submissions in connection with the Platform and Mealz's business.

You represent that:

• you own or have rights to the content submitted;
• submissions do not infringe third-party rights; and
• submissions comply with applicable laws and these Terms.

Mealz reserves the right to remove User Submissions at its discretion.

By using the Platform, you consent to receive communications from Mealz, including emails, calls, and text messages related to your account, inquiries, orders, reservations, and delivery status.

Marketing messages will be sent only where permitted and subject to opt-out rights. Transactional and operational messages may continue even if you opt out of marketing communications.

Your use of the Platform is subject to the Mealz Privacy Policy, which is incorporated by reference.

THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MEALZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Mealz does not guarantee uninterrupted, error-free operation or the accuracy of menus, pricing, availability, delivery timing, or Food Provider information.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEALZ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY FOOD OR DELIVERY SERVICES.

Mealz's total liability, if any, shall not exceed the amount paid by you to Mealz for the transaction giving rise to the claim.

You agree to defend, indemnify, and hold harmless Mealz and its affiliates, officers, employees, and agents from claims arising out of:

• your use of the Platform;
• violation of these Terms;
• User Submissions; or
• violation of third-party rights or applicable law.

Mealz may suspend or terminate access to the Platform at any time, with or without notice, for conduct it deems unacceptable or in violation of these Terms.

Provisions that by their nature should survive termination shall survive.

Mealz may elect to resolve disputes by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted on an individual basis in Orange County, Florida.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. You consent to exclusive jurisdiction and venue in state or federal courts located in Orange County, Florida, except where arbitration applies.

• Severability: Invalid provisions do not affect the remainder.
• No Waiver: Failure to enforce is not a waiver.
• Entire Agreement: These Terms and referenced policies constitute the entire agreement.
• Assignment: Mealz may assign these Terms without restriction.
• No Agency: No partnership or agency relationship is created.
